LIMITS OF AGREEMENT: The terms and conditions set forth herein shall constitute the entire agreement between Bellstar Instruments Inc. , a California company located at 3022 N.Durfee Ave, Suite B, El Monte, CA91732, hereafter referred to as (Bellstar) or seller and BUYER, unless terms and conditions which in any way are different, contradictory or in addition to those referenced, are mutually agreed upon in writing.

 

DELIVERY: All promises of delivery are made in good faith and BELLSTAR will attempt to meet the promised delivery schedule.

 

DELIVERY TERMS: The means of shipment shall be at the discretion of BUYER and communicated in writing to SELLER. BUYER shall pay all cost of shipment from Port of Entry of U.S. shipping point. Risk of loss shall pass to the BUYER on delivery to the carrier by BELLSTAR at designated FOB point, not withstanding any provisions for payment of freight or insurance by BELLSTAR or the form of the shipping documents. Risk or loss or merchandise sent to BELLSTAR for adjustment shall remain with BUYER until such is received by BELLSTAR.

 

PAYMENT TERMS: Payment terms are 100% PREPAYMENT unless otherwise agreed upon by the SELLER at the time of purchase.

Prepayment status: All prepayments must be received by BELLSTAR 30 days prior to the scheduled shipment date. Any prepayments not received 30 days prior will be rescheduled at the current lead times.

 

SALE CONVEYS NO LICENSE: BELLSTAR’s products are offered for sale and are sold by BELLSTAR, subject in every case to the condition that such sale does not convey any license, expressly or by implication or otherwise, under any patent claim with respect to which BELLSTAR can grant licenses covering a completed equipment or any assembly, circuit, combination, method or process in which any such products are used as component (not withstanding the fact that such products have been designed for use in, or may only be useful in, such patented equipment, assembly, circuit, combination, method or process, and that such products may have been purchased and such for such use). BELLSTAR expressly reserves all its rights under such patent claims.

 

WARRANTY: Bellstar Instruments Inc., offers a full 12-month repair or replacement warranty on all products sold by this company. Warranty covers defects as a result of design or manufacturing. This warranty does not cover damage as a result of shipping or misuse by the customer including improper cooling. This warranty is offered on a return to factory basis, with return shipping expense expressly at the cost of the customer. Bellstar will pay the return shipping on any materials repaired or replaced. Any repaired or replaced item assumes the remainder of the initial warranty period. Oxford warrants only to the Bellstarent of replacement or repair of our products, and does not assume.
